Provider Agreement

1. Parties

This Agreement is between the service provider ("Provider") and Scarsdale.Life ("Platform"). By creating a Provider account and listing services on the Platform, Provider agrees to these terms.

2. Relationship

2.1 Independent Business

Provider is an independent business, not an employee, agent, or representative of the Platform. This Agreement does not create an employment, joint venture, partnership, or agency relationship.

2.2 No Exclusivity

Provider is free to offer services through any other platform, marketplace, or channel. The Platform does not require or expect exclusivity.

2.3 Operational Independence

Provider retains full control over:

  • Pricing — Provider sets their own prices for all services
  • Scheduling — Provider determines their own availability and hours
  • Methods — Provider chooses how to perform services
  • Equipment — Provider uses their own tools and materials
  • Staffing — Provider manages their own employees and subcontractors
  • Client selection — Provider may accept or decline any service request

3. Provider Obligations

3.1 Licensing

Provider represents that they hold all licenses required by Westchester County and the State of New York to perform the services they offer. Provider agrees to:

  • Maintain current licensing throughout their use of the Platform
  • Update license information on the Platform promptly when renewed or changed
  • Notify the Platform immediately if any license is suspended, revoked, or lapses

3.2 Insurance

Provider represents that they maintain the following insurance as required by New York law:

  • General liability insurance (minimum $1,000,000 per occurrence)
  • Workers' compensation insurance (if employing workers)
  • Disability insurance (if employing workers)

Provider agrees to update insurance information on the Platform promptly when policies are renewed or changed.

3.3 Quality and Safety

Provider is solely responsible for the quality and safety of all services performed. The Platform does not inspect, supervise, or guarantee Provider's work.

3.4 Legal Compliance

Provider agrees to comply with all applicable federal, state, and local laws, including but not limited to:

  • Westchester County home improvement licensing requirements
  • New York State contractor registration requirements
  • Tax obligations (income tax, sales tax where applicable)
  • Employment law (for Provider's own employees)

3.5 Customer Authorization (Provider Due Diligence)

The Platform does not verify that a user owns a property/vehicle or is authorized to order the work, and a Platform claim is not a representation of ownership. Provider is solely responsible for confirming that its customer is the owner or is otherwise authorized to order and pay for the requested work, and for its own contracting, deposit, lien, and payment protections. Provider does not rely on the Platform for any such verification.

4.1 What the Platform Provides

  • Listing in the Platform's service directory
  • Homeowner discovery through search, browsing, and community features
  • Transaction-derived trust metrics (homes served, on-time rate, invoice accuracy)
  • In-platform messaging with homeowners
  • Invoicing and payment tracking tools
  • Community campaign tools (Provider-initiated discounts)
  • Optional membership in collective benefits programs (future)

4.2 What the Platform Does NOT Provide

  • Employment or employment benefits
  • Tools, equipment, or materials
  • Work assignments (all service requests are voluntary)
  • Price guidance or price caps
  • Marketing that constitutes endorsement
  • Legal or financial advice

5. Verification

5.1 Provider-Submitted Information

Provider agrees that all information submitted to the Platform (license numbers, insurance details, business description) is accurate and current.

5.2 Platform Verification

The Platform may verify Provider information using public records and third-party services. Verification is factual reporting ("License verified as of the date checked"), not endorsement. See the Platform's Verification Disclaimer.

5.3 Background Checks

The Platform may offer or require background checks through a third-party service (e.g., Checkr). Provider consents to background checks as a condition of maintaining a verified listing. Background check results are reported factually, not as endorsement.

6. Trust Metrics

The Platform computes and displays transaction-derived metrics based on Provider's activity on the Platform. These metrics (homes served, on-time completion rate, invoice accuracy, years on platform) are:

  • Computed automatically from Platform transaction data
  • Displayed to homeowners as informational data, not ratings or endorsements
  • Not editable by Provider (they reflect actual transaction history)

Provider understands that their visibility on the Platform is influenced by these objective metrics, not by payment or advertising.

7. Community Campaigns

Provider may create discount campaigns targeting specific community groups on the Platform. Campaign terms (discount amount, eligible communities, validity period) are set entirely by Provider. The Platform does not set, recommend, or require any pricing or discount terms.

8. Fees

8.1 Current

The Platform does not currently charge Provider fees for basic listing and participation.

8.2 Future

The Platform may introduce optional membership tiers with additional features. Any fee changes will be communicated with at least 30 days' notice.

8A. Homeowner Data — Use and Restrictions

8A.1 Limited, Purpose-Bound Access

When a homeowner engages Provider for a job, the Platform discloses to Provider only the information necessary to perform that job (the homeowner's name, service address, contact, and the scope for that task). Provider's access is granted per engagement and for the purpose of serving that homeowner.

8A.2 Permitted Use

Provider may use homeowner information solely to schedule, perform, invoice, and follow up on the specific service the homeowner requested, and to maintain Provider's own legally required business records.

8A.3 Prohibited Use

Provider shall not, without the homeowner's separate, explicit opt-in:

  • use homeowner information to market services the homeowner did not request;
  • add the homeowner to marketing lists or contact them outside the engaged job;
  • sell, license, rent, or otherwise disclose homeowner information to any third party;
  • combine homeowner information into datasets for resale; or
  • attempt to re-identify any de-identified or aggregate data the Platform provides.

8A.4 The Home's Record

Completion confirmations Provider submits become part of the home's verified maintenance record and of the Platform's aggregate data asset. Provider grants the Platform a perpetual, royalty-free license to use those confirmations for those purposes. Provider may request factual corrections through support but may not unilaterally retract a confirmed record.

8A.5 Security and Deletion

Provider shall protect homeowner information with reasonable safeguards and, on the homeowner's or Platform's request, delete homeowner information Provider holds outside its legally required business records.

9. Termination

9.1 By Provider

Provider may deactivate their account at any time. Active subscriptions should be honored or cancelled with reasonable notice to homeowners.

9.2 By Platform

The Platform may suspend or deactivate Provider's account for:

  • Violation of these terms
  • Lapsed licensing or insurance
  • Failed background check
  • Pattern of homeowner complaints
  • Inactivity (12+ months)

9.3 Data After Termination

Upon deactivation, Provider's profile is removed from public view. Transaction history and trust metrics are retained per the Platform's data retention policy.

10. Limitation of Liability

The Platform is not liable for any claims arising from services Provider performs. Provider agrees to indemnify the Platform against any claims arising from Provider's services, including claims of negligence, property damage, or personal injury.

11. Governing Law

This Agreement is governed by the laws of the State of New York.

11A. Changes to this Agreement

Each version is dated and retained, and we record which version Provider accepted and when. Material changes (including fee changes, per §8.2's 30-day notice) require Provider to review and accept the new version before continuing to list or transact on the Platform; until then the last-accepted version governs.
